The Company’s Dividend Payment Policy
The Company has its policy to pay dividend to its shareholders at the rate of not less than 30% of the earnings from the separate financial statements after deduction of taxes and all types of reserves as prescribed by laws and regulations of the Company. However, the payment of such dividend may be subject to change, necessity and other suitability as the Board of Directors may deem appropriate; provided that the payment of annual dividend shall be approved by the Shareholders’ Meeting, except for payment of interim dividend which may be approved by the Board of Directors from time to time when the Company has considered that it has enough earnings to do so, and the payment of such interim dividend shall be reported to the next shareholders’ meeting.
Dividend Payment Policy of Subsidiaries
Regarding the consideration of dividend payment of subsidiaries, it shall be subject to the consideration and approval of the meeting of the committee or the meeting of shareholders of each subsidiary (as the case may be) by taking into account the operating results, liquidity, cash flow and financial status, as well as investment plan of each subsidiary, including other factors as the committee of subsidiary or the meeting of shareholders of each subsidiary may deem appropriate; provided that, regarding the payment of dividend of subsidiaries (located in Thailand or abroad), it shall be considered from earnings from separate financial statements after deduction of taxes and reserves under the laws of such country. However, the dividend payment shall be considered as per suitability of the business condition such as from investment and business expansion plan of such subsidiary, etc. Provided that for transparent and accountable payment of dividends in accordance with the principles of corporate good governance, upon dividend payment of any subsidiary, directors appointed by the Company shall assume the office of directorship in such subsidiary, and shall be obliged to report the same to the next Board of Directors’ meeting for acknowledgment.
